सहयोग और सेवा स्तर समझौता (Collaboration & Service Level Agreement)
यह समझौता आज दिनांक
प्रथम पक्ष (First Party):
सोना पैकर्स और मूवर्स , कानपुर, जिसका प्रतिनिधित्व इसके मालिक श्री मती उमा सिंह कर रही हैं। (इसके बाद "प्रथम पक्ष" कहा जाएगा)।
द्वितीय पक्ष (Second Party):
प्रस्तावना:
प्रथम पक्ष पैकर्स और मूवर्स का व्यवसाय करता है। द्वितीय पक्ष अपने संबंधित शहर/क्षेत्र में पैकिंग, अनपैकिंग, लोडिंग, अनलोडिंग और ट्रांसपोर्टेशन की सुविधा प्रदान करने में सक्षम है। दोनों पक्ष आपसी सहमति से व्यापारिक लाभ के लिए साथ काम करने के इच्छुक हैं।
शर्तें एवं नियम (Terms and Conditions):
1. कार्य का दायरा (Scope of Work): द्वितीय पक्ष, प्रथम पक्ष द्वारा दिए गए आदेशों के अनुसार, ग्राहकों के सामान की सुरक्षित पैकिंग, लोडिंग, ट्रांसपोर्टेशन और अनलोडिंग का कार्य करेगा।
2. स्वतंत्र ठेकेदार (Independent Entity): यह समझौता 'प्रिंसिपल-टू-प्रिंसिपल' के आधार पर है। द्वितीय पक्ष एक स्वतंत्र इकाई है और प्रथम पक्ष का कर्मचारी, कानूनी एजेंट या पार्टनर नहीं है।
3. क्षतिपूर्ति (Indemnity - सुरक्षा क्लॉज): यदि द्वितीय पक्ष या उसके कर्मचारियों द्वारा काम के दौरान कोई चोरी, धोखाधड़ी, लापरवाही, दुर्घटना या गैर-कानूनी काम किया जाता है, तो इसकी सम्पूर्ण कानूनी (Legal) और आर्थिक (Financial) जिम्मेदारी केवल द्वितीय पक्ष की होगी। द्वितीय पक्ष ऐसी किसी भी स्थिति में प्रथम पक्ष को पूरी तरह से क्षतिपूरित (Indemnify) करेगा।
4. सामान की सुरक्षा और नुकसान (Damages & Claims): सेवा के दौरान यदि ग्राहक के सामान को कोई नुकसान पहुँचता है, तो द्वितीय पक्ष उसकी भरपाई करने के लिए उत्तरदायी होगा। प्रथम पक्ष को द्वितीय पक्ष के बिल/भुगतान से नुकसान की राशि काटने का अधिकार होगा।
5. भुगतान (Payment Terms): प्रत्येक बुकिंग के लिए कमीशन और भुगतान का अनुपात "जो भी तय हुआ हो" रहेगा। द्वितीय पक्ष को भुगतान कार्य पूरा होने पर किया जाएगा।
6. गोपनीयता (Confidentiality): द्वितीय पक्ष प्रथम पक्ष द्वारा दी गई ग्राहक जानकारी (लीड्स, नंबर, पता) का उपयोग केवल उसी विशेष काम के लिए करेगा। डेटा का दुरुपयोग करने पर कानूनी कार्रवाई की जाएगी।
7. अनुबंध की समाप्ति (Termination): यदि द्वितीय पक्ष सेवा में लापरवाही बरतता है या इस अनुबंध की किसी शर्त का उल्लंघन करता है, तो प्रथम पक्ष बिना किसी पूर्व नोटिस के इस समझौते को तुरंत समाप्त कर सकता है।
8. विवाद समाधान (Dispute Resolution): इस समझौते से संबंधित किसी भी विवाद की स्थिति में, मामला मध्यस्थता (Arbitration) के जरिए सुलझाया जाएगा और इसका कानूनी अधिकार क्षेत्र (Jurisdiction) कानपुर, उत्तर प्रदेश होगा।
दोनों पक्षों ने इस समझौते को पढ़कर और समझकर बिना किसी दबाव के अपने हस्ताक्षर किए हैं।

This agreement is made today on Date
First Party:
Sona Packers and Movers , Kanpur, represented by its owner Mrs. Uma Singh . (Hereinafter referred to as the "First Party").
Second Party:
Preamble:
The First Party is engaged in the Packers and Movers business. The Second Party is capable of providing packing, unpacking, loading, unloading, and transportation facilities in their respective city/region. Both parties are willing to work together for mutual business benefit by mutual consent.
Terms and Conditions:
1. Scope of Work: The Second Party shall safely pack, load, transport, and unload the customer's goods as per the orders placed by the First Party.
2. Independent Entity: This agreement is on a 'Principal-to-Principal' basis. The Second Party is an independent entity and not an employee, legal agent, or partner of the First Party.
3. Indemnity: If any theft, fraud, negligence, accident, or illegal act is committed by the Second Party or its employees during the work, the complete Legal and Financial responsibility will solely lie with the Second Party. The Second Party shall fully indemnify the First Party in any such situation.
4. Damages & Claims: If the customer's goods are damaged during the service, the Second Party will be liable to compensate for it. The First Party will have the right to deduct the damage amount from the Second Party's bill/payment.
5. Payment Terms: The commission and payment ratio for booking will be "Whatever is decided" . Payment to the Second Party will be made upon completion of the work.
6. Confidentiality: The Second Party shall use the customer information (leads, numbers, address) provided by the First Party strictly for that specific job only. Misuse of data will result in legal action.
7. Termination: If the Second Party is negligent in service or violates any condition of this contract, the First Party may immediately terminate this agreement without any prior notice.
8. Dispute Resolution: In the event of any dispute related to this agreement, the matter will be resolved through Arbitration, and the legal jurisdiction will be Kanpur, Uttar Pradesh.
Both parties have signed this agreement without any pressure after reading and understanding it.
